1. Who operates the Site

The Site is operated by NEET Systems Ltd trading as Digital Sigil (“Digital Sigil”, “we”, “us” and “our”). References to the “Site” include d-s.net and the web pages, account areas and interfaces provided through it.

2. Scope of these Terms

These Terms govern general access to and use of the Site by public visitors, Clients, Collaborators and other registered non-Staff users, including individual and business/entity users. Public pages may be viewed by people under 18. An individual Client or Collaborator must be at least 18 years old and have the legal capacity required under the laws applicable to them to create or hold a registered Digital Sigil account or use authenticated account services in their own right. A business or other legal entity is not itself subject to an age requirement, but its account and contractual actions must be handled by a person with the legal capacity and authority required to act for it. Staff accounts are governed by separate internal Staff policies, permissions and authorisation procedures rather than the public age-eligibility rule in these Terms. These Terms do not by themselves transfer ownership of Client IP, purchase rights in a paid product or service, or replace any separate terms that expressly apply to a particular feature, transaction or IP submission.

3. Acceptance and relationship with other terms

By using the Site, you must comply with these Terms. Registered non-Staff users must expressly accept the current version using the Site’s unchecked acceptance checkbox and “Accept current version” action; no second confirmation popup is required. Every new version of these Site Usage Terms requires express re-acceptance before continued authenticated use where the acceptance gate applies. The core acceptance-event record should identify the accepting account/user, the accepted Terms version and the UTC acceptance date and time. These Site Usage Terms are the general baseline for Site use. Where a more specific accepted agreement applies, that agreement governs only the subject matter it specifically covers. For example, the applicable IP Licensing Terms govern the licensing of Client IP.

4. Account use and responsibility

You must provide information that is accurate to the best of your knowledge, keep your account credentials secure, and use only accounts and permissions that you are authorised to use. You must promptly report suspected unauthorised access or compromise through the available support or contact route. You are responsible for activity carried out through your account to the extent permitted by law.

5. Permitted use

You may access and use the Site for its intended functions and for legitimate interaction with Digital Sigil, subject to these Terms and any additional terms that apply to a specific service.

6. Prohibited use

You must not use the Site unlawfully; submit unlawful, infringing, fraudulent, malicious or deliberately harmful content; attempt to gain unauthorised access to accounts, systems or data; interfere with security, availability or integrity; introduce malicious code; impersonate another person or entity; abuse support or communication functions; use another person’s credentials without authority; or deliberately use the Site in a way intended to damage, overload or disrupt it. Where reasonably necessary for safety, security, legal compliance or protection of users or third parties, Digital Sigil may quarantine submitted material, restrict access to it, investigate the relevant activity, preserve required evidence and make reports to competent authorities where legally required.

You must not probe, scan, test, bypass or defeat security controls except where Digital Sigil has expressly authorised that activity in writing or applicable law clearly permits it.

You must not use automated collection, scraping or extraction to reproduce protected Site content, build a substitute or competing copy of the Site, or materially burden the service, except where expressly authorised by us or permitted by law.

7. Ownership of the Site, design, software and branding

Copyright and other intellectual property rights in Digital Sigil’s original Site-specific materials are owned by NEET Systems Ltd. Material owned by third parties remains owned by the relevant third party and is used by NEET Systems Ltd under the applicable licence, permission or other lawful basis.

NEET Systems Ltd’s Site-specific materials include, where applicable, original source and object code, software architecture, databases, interfaces, navigation, workflows, page layouts, visual design, selection and arrangement of content, graphical assets, text, documentation, logos, trade names, branding and other original materials created for Digital Sigil. All such rights are reserved.

Access to the Site gives you only a limited, non-exclusive, non-transferable right to use the Site for its intended purpose while these Terms apply. It does not sell, assign or otherwise transfer ownership of any Site intellectual property to you.

Except to the extent expressly permitted by law or by our prior written permission, you must not copy, clone, reproduce, republish, distribute, sell, license, adapt or commercially exploit protected Site materials; extract or reuse a substantial part of a protected database; create a derivative or imitative service from protected Site materials; remove ownership or rights notices; or use Digital Sigil or NEET Systems Ltd branding in a way that suggests endorsement, affiliation or ownership that does not exist.

NEET Systems Ltd may modify, replace, redesign or retire any part of the Site, including its visual design, navigation, software, workflows and functionality. Use of the Site does not give a user any ownership interest in a current, previous or future version of the Site or its design.

Client IP, Registered IP and ordinary user-submitted content do not become NEET Systems Ltd property merely because they are uploaded to or processed by the Site. Those materials are governed by section 8 of these Terms and, where applicable, the separate IP Licensing Terms.

Third-party software, fonts, images, libraries, services and other materials remain subject to the rights and licences of their respective owners.

8. Client and user content

Except where a separate agreement states otherwise, you retain any ownership rights you already hold in content you submit to the Site. You must have the rights, permissions or authority required to submit that content and to permit the Site to process it for the relevant purpose.

For content that is not governed by separate IP Licensing Terms or another specific agreement, you grant NEET Systems Ltd a limited, non-exclusive operational licence to host, store, back up, reproduce technically, transmit, display to authorised recipients, scan, quarantine, restrict, preserve, process and delete that content only as reasonably necessary to operate the Site, provide the requested function, maintain security and safety, administer applicable records, and comply with law.

Uploading ordinary operational content does not grant Digital Sigil any right to sell, license, use as stock content, incorporate into products or otherwise commercially exploit that content merely because it was uploaded to the Site.

IP submitted for registration, licensing or another IP-specific workflow remains subject to the applicable IP Licensing Terms. Nothing in these Site Usage Terms is intended to enlarge or replace the IP rights granted under those separate terms.

9. Site security and integrity

You must not attempt to circumvent access controls, rate limits, verification steps, account restrictions or technical protections. Digital Sigil may take proportionate technical or account measures to protect users, the Site, its infrastructure and third parties from suspected misuse, security threats, fraud or abuse.

Security and confirmation SMS. Digital Sigil may send one-time transactional security SMS messages to a mobile number you provide when you request or use an SMS-based account verification, authentication, confirmation, recovery or security action. These messages are used only for account security and confirmation, not marketing. Standard message and data rates may apply.

For assistance, reply HELP where the SMS sender supports replies, or use the Contact or Support routes provided on the Site. To stop receiving security SMS messages, reply STOP where replies are supported, or use the Contact or Support routes provided on the Site. Opting out may prevent completion of an account action that requires SMS until SMS is re-enabled or another available verification method is used. Carriers are not liable for delayed or undelivered messages. Your mobile number and SMS verification data are handled in accordance with the Privacy information made available on the Site.

10. Automated access

Search engines and other automated systems may access public portions of the Site only to the extent allowed by applicable law, our published technical controls and any express permission we provide. Automated access to authenticated, restricted or non-public areas is not permitted unless expressly authorised.

11. Third-party services and materials

The Site may use or link to third-party services, payment providers, hosting, security, verification, content-safety or other providers. Their services may be governed by their own terms and privacy information. A link or technical integration does not transfer ownership of third-party material to Digital Sigil or to you.

12. Availability, maintenance and changes

We may maintain, update, change, suspend or discontinue parts of the Site where reasonably required for security, legal, operational or service reasons. We do not promise that every feature will always be available or that access will always be uninterrupted. Any contractual commitments for a paid service are governed by the terms applicable to that service.

13. Information on the Site

General Site content is provided for information about Digital Sigil and its services. Unless expressly stated otherwise, it is not legal, financial, tax or other professional advice. You should obtain appropriate professional advice where your decision depends on those matters.

14. Privacy, cookies and data

Personal data is handled in accordance with the Privacy information made available on the Site. Cookie and similar-technology use is addressed through the Site’s applicable cookie information and controls. These Site Usage Terms do not replace those notices.

15. Suspension and ending access

We may restrict or suspend access where reasonably necessary to protect security or integrity, investigate suspected misuse, comply with law, enforce these Terms, verify eligibility or authority, or protect the rights of users or third parties. Where an individual account holder is found not to meet the applicable age or capacity requirement, the account may be suspended rather than closed solely for that reason. Subject to Staff verification and applicable law, Digital Sigil determines the appropriate representative/control arrangement case-by-case; no one route is the default. A legally capable and authorised company or other legal representative may take control of the existing account, relevant IP may be transferred to the representative’s separate account, or the representation may be recorded externally while the existing Site account structure is retained. If relevant IP is transferred to a representative’s separate account, the underage individual’s account remains suspended with its historical records preserved unless a separate lawful reason requires closure. A representative newly assuming contractual responsibility must expressly accept the then-current applicable Site Usage Terms and any other applicable agreement before exercising that responsibility; historical acceptance records remain preserved. Where the original individual later becomes eligible to act independently, Staff will reverify the individual, confirm the controlling legal entity and representative position for affected IP, and require acceptance of the then-current applicable agreements before independent control resumes. Closing, suspending, deactivating or otherwise ending an account or Site access does not transfer Site intellectual property to the user and does not cancel, revoke or prejudice rights or obligations that survive under another applicable agreement, including continuing IP licences, royalty or payment rights and obligations, disputes, enforcement rights, accrued rights or other provisions intended to continue.

16. Liability and rights that cannot be excluded

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or rights and remedies that cannot lawfully be excluded.

These Site Usage Terms govern general use of the Site. Any additional warranties, service commitments, refund rights or liability terms relating to a purchased product or service should be stated in the terms governing that product or service.

17. Changes to these Terms

We may update these Terms to reflect changes to the Site, law, security requirements or our operations. Each published version must be identified by its version and effective or publication date. Every new version requires express re-acceptance by registered non-Staff users through the Site’s acceptance process before continued authenticated use where the acceptance gate applies. Historic versions and their relationship to recorded acceptance events must remain identifiable.

18. Governing law

These Terms are governed by the law of England and Wales, subject to any mandatory rights or protections that apply to a user and cannot lawfully be displaced. These Terms are intended to support both individual/consumer users and business or entity users; nothing in them excludes mandatory consumer rights or protections that cannot lawfully be excluded.
